Neku Terms of Service

Welcome to Neku. These Terms of Service (“Terms”) govern your use of the Neku mobile application (the “App”) provided by Wilpuzzle Inc. (“we,” “us,” or “our”).
By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the App.
1. Acceptance of Terms
By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and any applicable laws and regulations.
If you do not agree to these Terms, you must discontinue use of the App.
2. Eligibility
The App may be used by individuals of any age. However, users must comply with all applicable laws in their jurisdiction when using the App.
If you are using the App on behalf of another person or entity, you represent that you have the authority to agree to these Terms on their behalf.
3. License to Use the App
Wilpuzzle Inc. grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App for personal, non-commercial purposes.
You may not sublicense, distribute, modify, reverse engineer, or otherwise attempt to extract the source code of the App unless permitted by applicable law.
4. Local Data Responsibility
Neku is designed as a local-first application.
Information you create in the App, including item records, notes, images, categories, or other organizational data, is primarily stored on your own device.
Wilpuzzle Inc. does not host or store this information on its own servers.
You are responsible for managing and protecting your own device data, including creating backups if necessary.
5. Acceptable Use
You agree not to misuse the App or interfere with its operation.
You must not:
Use the App for unlawful activities.
Attempt to gain unauthorized access to the App or related systems.
Reverse engineer, decompile, or modify the App.
Use the App in a manner that disrupts its intended functionality.
6. Intellectual Property
All rights, title, and interest in and to the App, including software, design, trademarks, and related materials, are owned by Wilpuzzle Inc. or its licensors.
These Terms do not grant you ownership of the App or any intellectual property rights beyond the limited license described above.
7. Third-Party Platforms and Services
The App is distributed through the Apple App Store.
Your use of the App may therefore also be subject to Apple’s applicable terms, including the App Store Terms of Service.
Wilpuzzle Inc. is not responsible for the policies or practices of Apple or other third-party platforms.
8. Privacy
Your use of the App is also governed by our Privacy Policy.
Neku is designed as a local-first application and does not collect personal information through its own servers. Please review the Privacy Policy for additional details.
9. Disclaimer of Warranties
The App is provided “as is” and “as available.”
To the maximum extent permitted by law, Wilpuzzle Inc. disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the App will be uninterrupted, secure, or free of errors.
10. Limitation of Liability
To the maximum extent permitted by law, Wilpuzzle Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App.
This includes, but is not limited to:
Loss of data
Loss of device functionality
Any damages resulting from the inability to use the App
11. Indemnification
You agree to indemnify and hold harmless Wilpuzzle Inc., its affiliates, officers, employees, and partners from any claims, damages, losses, liabilities, or expenses arising from:
Your use of the App
Your violation of these Terms
Your violation of any applicable law
12. Termination
We reserve the right to modify, suspend, or discontinue the App at any time without prior notice.
You may stop using the App at any time by uninstalling it from your device.
13. Changes to the App
We may update, modify, or improve the App from time to time.
Such updates may change or remove certain features of the App.
14. Changes to These Terms
We may revise these Terms periodically.
If changes are made, the updated version will be posted on this page with a revised effective date.
Your continued use of the App after updates constitutes acceptance of the revised Terms.
15. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Canada, without regard to its conflict of law principles.
16. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms constitute the entire agreement between you and Wilpuzzle Inc. regarding the use of the App and supersede any prior agreements relating to the App.
